For the purposes of expanding the subject of activity, it is necessary to have authorization for the subject of business, which forms an appendix to the entry of the subject of business in the commercial register. Depending on the subject of business, we most often distinguish entities that issue these authorizations into:
Trade offices - issue trade licenses for independent, craft and bound trades
Other entities (e.g. NBS, district transport office, Regional Directorate of PZ) that issue specific licenses/authorizations for the performance of activities, such as activity of financial agent, taxi service, SBS, etc.
However, it is also possible to register activities that do not require the prior issuance of the necessary authorization in the Commercial Register, e.g. o: agriculture and forestry, including the sale of unprocessed agricultural and forestry products for the purpose of processing or resale.
Change of business name
Are you planning to change your business name? Leave it to us and you will avoid inconveniences with the authorities.
Did you know that the uniqueness of a business name has its own rules? With us, you can be sure that we will write down your new business name after the change.
BONUS - announcements and reissuance of TIN and VAT ID certificates at the tax office (as the only company on the market, we provide this additional service for free).
According to the Commercial Code, the company's trade name is the name under which it operates in its business activities. When choosing a business name, it is necessary to remember that it must not be interchangeable with the business name of another entrepreneur, and it must also not create a false impression about the entrepreneur or the subject of the business.
After choosing a business name, we recommend our clients to visit the website of the commercial register http://orsr.sk/search_subjekt.asp and check whether the chosen name is already used by another entity. The business register will refuse to enter a business name that is already used by another entity.
Conversion of share capital into euro
After the introduction of the euro currency in the Slovak Republic, there was an obligation for commercial companies and cooperatives to convert the share capital and shareholders' deposits in the Commercial Register from Slovak crowns to euros.
The legal framework is Act No. 659/2007 Coll. on the introduction of the euro currency in the Slovak Republic and on the amendment and supplementation of certain laws, as amended, which stipulates the obligation to convert the share capital in the OR by 31.12.2009. If the company managed to make the change within this period, the proposal to register the changes was not subject to a fee. If the share capital is converted after 01.01.2010, the proposal to register the changes in the OR is subject to a fee of EUR 66 (in the case of electronic submission, EUR 33).
It must be remembered that until the share capital is converted, no changes can be made in the company. The situation can be resolved by submitting a proposal for several changes, which, however, must also include the conversion of the share capital.
